Allgemeine Geschäftsbedingungen der BERLINPOINT Immobilien GmbH

zur Vermittlung und zum Nachweis von Immobilien

§ 1 Geltungsbereich

1. Diese Geschäftsbedingungen werden zusammen mit der Exposébeschreibung Bestandteil der beiderseitigen Vereinbarungen.

2. Unsere Angebote, Nachweise und Leistungen erfolgen ausschließlich auf Grundlage dieser Geschäftsbedingungen, auch wenn dies nicht nochmals ausdrücklich vereinbart wird. Abweichungen von diesen Geschäftsbedingungen sind nur wirksam, wenn wir diese schriftlich bestätigen.

3. Ein Auftrag bedarf keiner Form. Die Annahme unserer Maklerdienste oder unserer Angebotsangaben sowie die Verwertung von uns gegebener Nachweise genügen zum Zustandekommen eines Maklervertrages zu diesen Geschäftsbedingungen.

4. Spätestens mit Entgegennahme der Leistungen erklärt sich der Empfänger, im Nachfolgenden Auftraggeber genannt, mit diesen Geschäftsbedingungen einverstanden.

§ 2 Vertraulichkeit

1. Unsere Angebote, Nachweise und sonstigen Mitteilungen und herausgegebenen Informationen sind ausschließlich für den Auftraggeber bestimmt. Sie sind vertraulich zu behandeln und dürfen Dritten – auch Vollmacht- und Auftraggebern des Auftraggebers - nicht ohne unsere vorherige schriftliche Zustimmung zugänglich gemacht werden.

2. Verstößt der Auftraggeber gegen diese Verpflichtung und schließt der Dritte oder andere Personen, an die der Dritte seinerseits die Informationen weitergegeben hat, den Hauptvertrag ab, so ist der Auftraggeber verpflichtet, der Berlinpoint Immobilien GmbH die vereinbarte Provision zuzüglich Mehrwertsteuer zu entrichten.

§ 3 Vorkenntnis

1. Ist dem Auftraggeber die durch uns nachgewiesene Gelegenheit zum Abschluss eines Vertrages bereits bekannt, so hat er uns dies unverzüglich mitzuteilen. Auf unser Verlangen hin ist der vorherige Nachweis eines Dritten nachzuweisen. Geschieht dies nicht, behält sich die BERLINPOINT Immobilien GmbH das Recht vor, Schadensersatz für nutzlos erbrachte Aufwendungen zu fordern.

2. Bis zum Nachweis des Gegenteils gilt unser Nachweis als ursächlich für den Vertragsabschluss.

§ 4 Haftung

1. Die in unseren Angeboten, Nachweisen und sonstigen Mitteilungen und herausgegebenen Informationen gemachten Angaben beruhen auf den Informationen, die uns von Verkäufern, Vermietern oder Dritten mitgeteilt wurden. Wir sind bestrebt, möglichst richtige und vollständige Angaben zu erhalten, weisen jedoch ausdrücklich darauf hin, dass wir diese Informationen nicht überprüft haben. Jegliche Haftung für die Richtigkeit und Vollständigkeit der Angaben wird nicht übernommen.

2. Die Haftung der BERLINPOINT Immobilien GmbH wird auf grob fahrlässiges und vorsätzliches Handeln begrenzt, soweit die Pflichtverletzung nicht den Körper oder die Gesundheit des Auftraggebers verletzt.

3. Für technische, steuerliche, finanzielle sowie juristische Beratung empfehlen wir die Hinzuziehung von Fachleuten. Die von uns in solchem Zusammenhang getätigten Auskünfte sind unverbindlich.

§ 5 Provisionspflicht

1. Der Provisionsanspruch entsteht, sobald aufgrund unseres Nachweises oder unserer Vermittlung ein Hauptvertrag wirksam zustande kommt.

2. Der Provisionsanspruch entsteht auch dann, wenn unser Nachweis in sonstiger Art und Weise verwertet wird.

3. Der Provisionsanspruch entsteht zudem, wenn ein Vertrag zu anderen Bedingungen, z.B. auch bei Kauf statt Miete und umgekehrt, als den von uns nachgewiesenen oder vermittelten Möglichkeiten, zustande kommt.

4. Der Provisionsanspruch entsteht zusätzlich für Ergänzungen und / oder Erweiterungen eines von uns nachgewiesenen oder vermittelten Vertrages, wenn diese zeitlich, räumlich und wirtschaftlich im Zusammenhang stehen.

5. Weicht der tatsächlich geschlossene Kaufvertrag inhaltlich vom Gegenstand im Exposé ab, wird aber wirtschaftlich mit ihm der gleiche Erfolg erzielt, bleibt der Anspruch auf die ursprüngliche Provision bestehen.

6. Der Provisionsanspruch entsteht auch, wenn ein Vertrag durch Verhandlungen mit einem von uns nachgewiesenen oder vermittelten Objekteigentümer, Verfügungsberechtigten o.ä. hinsichtlich eines anderen Objektes zustande kommt und wirtschaftlich in Zusammenhang steht.

7. Der Provisionsanspruch ist auch dann entstanden und fällig, wenn der Verkauf mit einer anderen Partei zustande kommt, mit welcher der Empfänger in einem besonders engen persönlichen oder ausgeprägten wirtschaftlichen bzw. gesellschaftsrechtlichen Verhältnis steht.

8. Spätere Nachweise durch Dritte berühren nicht die Ursächlichkeit unseres Nachweises, der Provisionsanspruch bleibt bestehen.

9. Erlischt der Vertrag aufgrund auflösender Bedingungen, so bleibt unser Provisionsanspruch bestehen.

10. Wird der Vertrag durch Rücktritt aufgrund eines vertraglichen Rücktrittsrechtes aufgelöst oder aus anderen in der Sphäre der Vertragsschließenden liegenden Gründen rückgängig gemacht, so bleibt unser Provisionsanspruch ebenfalls bestehen.

11. Wird der Vertrag erfolgreich angefochten, so ist derjenige Vertragsteil, der den Anfechtungsgrund gesetzt hat, zum Schadensersatz verpflichtet.

§ 6 Ersatz- und Folgegeschäfte

Eine Provisionspflicht des Auftraggebers gemäß der mit der BERLINPOINT Immobilien GmbH vereinbarten Provisionssätzen besteht auch bei einem Ersatzgeschäft. Ein solches liegt z. B. vor, wenn der Auftraggeber im Zusammenhang mit der vom Makler entfalteten Tätigkeit von seinem potenziellen und vom Makler nachgewiesenen Hauptvertragspartner eine andere Gelegenheit zum Hauptvertragsabschluss erfährt oder über die nachgewiesene Gelegenheit mit dem Rechtsnachfolger des potenziellen Hauptvertragspartners den Hauptvertrag abschließt oder das nachgewiesene Objekt käuflich erwirbt, anstatt es zu mieten, zu pachten bzw. umgekehrt. Um die Provisionspflicht bei Ersatzgeschäften auszulösen, ist es nicht erforderlich, dass das provisionspflichtige Geschäft mit dem ursprünglich vorgesehenen wirtschaftlich gleichwertig im Sinne der von der Rechtssprechung zum Begriff der wirtschaftlichen Identität entwickelten Voraussetzungen sein muss.

§ 7 Fälligkeit des Provisionsanspruches

Der Provisionsanspruch in Höhe der im Exposé genannten Sätze ist am Tage des rechtswirksamen Vertragsabschlusses fällig. Die Provision ist sofort, spätestens jedoch innerhalb von 14 Tagen nach Rechnungslegung zu zahlen. Abweichende Regelungen bedürfen der Schriftform und sind von uns schriftlich zu bestätigen.

§ 8 Vertragsschluss- und Vertragsverhandlung

1. Bei Vertragsverhandlungen muss die BERLINPOINT Immobilien GmbH als ursächlich wirkender Makler benannt werden.

2. Die BERLINPOINT Immobilien GmbH ist zu jedem Vertragsabschluss hinzuzuziehen.

3. Die BERLINPOINT Immobilien GmbH hat einen Anspruch auf Abschriften der geschlossenen Verträge sowie der getroffenen Nebenvereinbarungen.

§ 9 Doppeltätigkeit

Die BERLINPOINT Immobilien GmbH darf beidseitig, also auch für den anderen Vertragspartner provisionspflichtig tätig werden.

§ 10 Unverbindlichkeit der Angebote

Unsere Angebote und Nachweise sind freibleibend. Ein Zwischenverkauf sowie -vermietung und -verpachtung bleiben ausdrücklich vorbehalten.

§ 11 Gemeinschaftsgeschäfte

Für Gemeinschaftsgeschäfte mit anderen Maklern gilt Kunden- und Quellenschutz für zwei Jahre nach Ablauf der Auftragsfrist als vereinbart. Der am Gemeinschaftsgeschäft beteiligte Makler haftet in diesem Fall für die Hälfte der im Angebot genannten Provision bzw. für die Hälfte des erzielten Mehrerlöses. Abweichende Regelungen bedürfen der Schriftform und sind von uns schriftlich zu bestätigen.

§ 12 Verjährung

Die Verjährungsfrist für alle Schadenersatzansprüche des Auftraggebers gegen die BERLINPOINT Immobilien GmbH beträgt 3 Jahre. Sie beginnt mit dem Zeitpunkt, an dem die Schadenersatzverpflichtung auslösende Handlung begangen worden ist. Sollten die gesetzlichen Verjährungsregelungen im Einzelfall für die BERLINPOINT Immobilien GmbH zu einer kürzeren Verjährung führen gelten diese.

§ 13 Vollständigkeit der Vereinbarungen

Der Auftraggeber bestätigt, dass keine stillschweigenden oder mündlichen Nebenabreden, welche über diese Allgemeinen Geschäftsbedingungen oder über das Exposé hinausgehen, getroffen wurden. Mündliche Nebenabreden und Vertragsänderungen bedürfen zu Ihrer Gültigkeit der Schriftform und sind von uns schriftlich zu bestätigen.

§ 14 Datenschutz

Die uns über unsere Online-Formulare oder anderweitig vom Auftraggeber zur Verfügung gestellten Informationen werden in unserer EDV gespeichert und ausschließlich im Rahmen der Geschäftsbeziehungen zwischen Auftraggeber und unserem Unternehmen sowie dessen Partnern verarbeitet.

§ 15 Online Streitbeilegung

Online-Streitbeilegung gemäß Art. 14 Abs. 1 ODR-VO: Die Europäische Kommission stellt eine Plattform zur Online-Streitbeilegung (OS) bereit, die Sie hier finden: https://ec.europa.eu/consumers/odr

§ 16 Erfüllungsort und Gerichtsstand

Erfüllungsort und Gerichtsstand bei Kaufleuten ist Berlin.

§ 17 Salvatorische Klausel

Sollte eine Bestimmung dieses Vertrages unwirksam sein, wird die Wirksamkeit der übrigen Bestimmungen davon nicht berührt. Dies gilt auch, wenn innerhalb einer Regelung ein Teil unwirksam ist, ein anderer Teil aber wirksam. Die Parteien verpflichten sich, anstelle der unwirksamen Bestimmung eine dieser Bestimmung möglichst nahekommende wirksame Regelung zu treffen.

Consequences of Revocation

In the case of an effective revocation, the services received by both sides must be returned and any benefits received (e.g. interest) reimbursed. If it is not possible to return the service provided in part or in full or if it can only be returned in a deteriorated condition, then it is possible that you will have to provide compensation for loss of value. This could mean that you will have to fulfill the contractual payment obligations for the time period leading up to the revocation. Obligations for reimbursing payments must be fulfilled within 30 days. The period begins for you upon dispatch of the notice of revocation and for us upon receipt of the same.
Special note:

Your right of revocation will expire prematurely if the contract has been executed in full by both parties at your explicit request prior to your exercising your right of revocation.
